- Once goods are identified, this is when UCC 2-401 is applied to the passage of tittle. In mostly all of UCC 2-401 the words “unless otherwise explicitly agree” appear, meaning that any explicit understanding between the buyer and the seller determines when tittle passes. If both parties do not come to an outright agreement than the tittle passes to the buyer at the time and the place the seller performs by delivering the goods.
First, when a creditor (ICE) extends credit to a debtor (Top Quality) and takes a security interest in some property of the debtor, Top Qualities inventory in this case, it is called a secured transaction. The inventory is then considered collateral for the financing that ICE provided for Top Quality, which was made clear in the financing statement that ICE filed. Any secured transactions where personal property is used as collateral is governed by Article 9 of the Uniform Commercial Code. The UCC was revised in 2001 to better adhere to modern times, and since this case took place from 2007 to 2009, we will be applying the revised edition. There are many sections of Article 9 that should be considered when examining this case. First, the filing of a financing statement, form UCC-1 in Article 9, should be confirmed as filed with the appropriate state office. Once this has been done, confirming the attachment of Top Quality’s inventory to ICE, we can then look to confirm that the initial sale to Chrisman was paid in full to Top Quality, which it was. If this were not the case, ICE would be entitled to the remaining sale proceeds. Now we move on to the requirements of a buyer in the ordinary course of business, per Article 9 of the UCC. According the textbook, “A buyer in the ordinary course of business who purchases goods from a merchant takes the goods free of any perfected or unperfected security interest in the merchant’s inventory, even if the buyer knows of the existence of the security interest” (Cheeseman). The textbook then continues to explain that this rule is necessary because buyers would be reluctant to purchase goods if the merchant creditors could recover the goods if the merchant defaulted on the loans owed to secured creditors. These statements come from the Revised Article 9, section 320(a). This is based on the idea that the buyer purchases in good faith, meaning that they are

A Louisiana attorney is constantly asked by non-Louisiana peers if the state ever adopted the Uniform Commercial Code or if they are still using the old, outdated, Napoleonic Code. Though Louisiana has stark interpretations of the relevance of the UCC, the state has adopted the code in piecemeal. This article is a partial synopsis of introducing readers to a few of the concepts of UCC as adopted by Louisiana compared to the existing principles of the law of sales.
...useless car to a junk yard to recover some loss, but the difference of the re-sale of the junk-car would be a significant loss. Though there were no adequate assurances to the contract, anticipatory repudiation is the only probable remedy for Jack. However, the outcome would weigh on the predominant factor test, which is met because Tom is covered as a merchant because he is operating in his usual daily business, and Jack is the buyer. The sole purpose of the contract was for Tom to sell Jack a car, and for Jack to buy a car from Tom. The UCC, though less stringent than the statute of frauds, does effectively regulate commercial transfers allowing the free market to operate without diminishing the integrity of trade.
Stratford Caldecott’s “Remembering: Grammar-Mythos-Imagining the Real” is from his book Beauty in the Word, published in 2012. In this chapter, he argues that naming, as the beginning of grammar, is an integral part of our humanity. He goes on to connect grammar to the arts of remembering, tradition, and storytelling, as well as commenting on the danger of becoming too reliant on technology. Caldecott believes that grammar, and thereby Remembering, brings us into a greater community of human thought which transcends time; as a result, ‘Grammar’ is “the remembrance of Being” (Caldecott 59). This, he argues, is why it is so important to teach grammar; losing the art of grammar would mean losing our very humanity.
Ooma is a telecommunication company. We are going to change your attitude about the telephone. There are many new technologies that going to change telecommunication. Today, we have Skype or many others free program for calling people. Although, these companies will charge people every month for using this telecommunication. As the head of this company, I will support this idea.
As a Corporation Examiner IV (Supervisor) I may supervise staff in remote work locations and I would ensure off-site staff are being adequately supervised by utilizing the following techniques. The most important skill would be utilizing different forms of communication to ensure a healthy balance and expectations. The various forms of communication that can be used would be email, phone, meetings, skype, and messenger. The various platforms in which are available now can be used as a resource to exchange request and information in a timely fashion.

The topic of reproductive rights surrounding women in Texas has been a hot buttoned issue since the closing of many reproductive centers across the state. Recently damaging abortion restrictions were passed and therefore encroached on women’s reproductive rights even more by decreasing access to abortion care. Texas’ 84th Legislature both passed HB 3994 as a law and had it made effective by state governor Greg Abbott on July 8 of this year. This law complicates access to abortion services for mistreated and neglected minors and for those who do not possess specific identification cards in Texas.
On March 31, 2017, approximately 0800hrs I was taking the last examination test for the Master Leader Course (MLC), when MSG Dotson approached me and asked me how many pages I had so far, I pointed to him the last topic that I had typed. Then MSG Dotson informed me that I had approximately 700 words already typed on the word document, I told him that it is impossible and I showed him again the last topic that I had typed. On April 01, 2017, I received a DA Form 4856 about a possible ethic violation. I wrote my statement on the DA form 4856 explaining what had happened with the test. I click the clipboard by mistake not knowing that I had pasted a lot of information. I would have known about the mistake I would have corrected it right away.
Information technology (IT) project management in the domain of public education can be a complex undertaking fraught with challenges and risks. The ability to effectively oversee a project, which is a temporary endeavor undertaken to create a unique product, service, or result (Project Management Institute, 2013), can be crucial in supporting academic initiatives and engagement in school settings. This paper will describe and then reflect upon the experience of being tasked with the project of creating a mobile lab at North Saanich Middle School. The reflective portion will examine the process through the perspectives gained because of the subject matter presented in PJMT 501 as the beginning of this course coincided with the start of the implementation phase and continues concurrently with the closeout phases (Schwalbe, 2010, p. 58) of the project. Specifically, three examples of how scope, time, and cost goals (Schwalbe, 2010, p.9) became unbalanced will be examined and a reflection on how to learn from these experiences will be forwarded. This perspective will help to describe how the exposure and deeper understanding of the basic principles of Project Management not only influenced the completion of this project but also will influence future approaches to other IT projects.
By using PR, we can promote positive attitudes and behaviours towards the business that will help convert interested consumers into customers. PR tools are very cost-effective, and often give you a greater degree of control than more broadly targeted advertising campaigns.

The WIC program has an average of 9.17 million participants every month. Yet, there are many women who are not receiving benefits from this great resource center, and there are many women that are taking advantage and are receiving the benefits when they actually do not need it. I planned an informative trip to one of the many WIC agencies her in Los Angeles, CA. I visited the Van Nuys, CA location multiple times to get a chance to talk to recipients and even employees to get a better view of the program.
The two assessments that I chose to measure early literacy skills in young children in K-2, is the KTEA, and a spelling test. The Kaufman Test of Education Achievement (KTEA), is an assessments that measure early literacy for young children, The Kaufman Test of Educational Achievement (K-TEA) was designed to measure school achievement of children enrolled in Grades K-2. The test is individually administered, norm – referenced, by the teacher or a staff support member. The assessments are intended for use in programing planning, placement, and measurement
