Legal Aspects of Supply Chain Management
Internet has definitively changed the relationships of the company
with the different business partners of the supply chain.
E-Commerce/E-Business is any ‘net’ business activity that transforms
internal and external relationship to create values and exploit market
opportunities driven new rules of the connected economy.”(Damanpour
2001). It refers to all forms of business activities conducted across
the internet. This can include E-tailing, B2B, intranets and
extranets, online advertising (e.g. advertising banners), and simply
online presences of any form that are used for some type of
communication (customer service for example). With internet the
commerce does not have limits or borders and the e-businesses are
negotiated in ‘virtual shopping males’ and ‘board rooms’.
This paper deals with the legal issue of the e-commerce in the
European Union (EU) notably the contract law applied to the internet.
How to constitute a traditional contract via internet without concrete
negotiation and face-to-face? How to insure the respect of the
procedure and the terms of the contract on-line? Then I analysed the
fact that this issue is controversial but also current and how it
affects the Supply Chain.
The main issue of the e-commerce is contract law applied to internet
in the EU supported by the EU Directives 2000/EC. In 2000, “EU
attempted to construct a basic framework for the future regulation of

Have you ever purchased any product on the Internet, used the Internet to collect information or data, or played computer games on the Internet? You must agree that it is fast, easy, and enjoyable. The Internet has been a part of our daily life for several years now. In addition, in the business world, a new business model, E-business and E-commerce, has appeared for several years. According to Ali, there are two main types of E-commerce: B2B and B2C (2000). One is business to business (B2B). This means that enterprises use the Internet to transact or trade between business operations and their partners. Another is business to consumer (B2C). In other words, enterprises provide products, support good, and services to the customers on the Internet.
One thing connecting all parts of local to national business, effected by billions of people each day and managed by thousands of businesses individually or together, the supply chain is an effective and much needed tool is our enterprises today. Compared to the business practices in the 90s and earlier back through time, the average business model today is very complex and intertwined with other businesses. No more are the days businesses could run off of a poster or simple advertisement in the community, now the business of social media and the internet are essential to running any establishment and earning money. A very integrated business is more than just advertisement and sales though, the enterprise needs coordination and it will decide to take part in information sharing within the supply chain management it will run. On the same note, it is well acknowledged that the competitiveness of any organization fundamentally depends on the workforce. Indeed, the workforce is recognized as the heart or living organism of any organization including hotels. It goes without saying that there is minimum likelihood that a restaurant where workers operate in unsafe conditions or are mistreated will offer services and products of the highest quality. Scholars note that employees always desire to work in institutions or restaurants that have high standards of integrity and strive to do the appropriate thing (Fox & Vorley, 2004 pp. 33). This is especially so for the new generation workforce, as well as in attracting the best talent in the industry. A reputation for responsibility and integrity has been recognized as crucial in motivating, as well as recruiting staff especially considering that individuals care about the principles and values that their employers wish to uphold. Scholars note that operating voluntarily to high ethical standards pertaining to environment and social responsibility can result in competitive advantage (Schlegelmilch et al, 2004, pp. pp 254). Customers and civil society groups have been increasingly vigilant in determining whether there is an ethical lapse in the manner in which employees are treated within the supply chain of any organization (Fox & Vorley, 2004 pp. 33). If someone were to be asked what their profession is and they replied with supply chain management, they would likely be met with blank stares and the question, “what is that”? To briefly sum it up, supply chain management (SCM) is the overseeing of flow efficiency and storage of a product from the point of origin to the point of consumption. In the fairly recent past the implementation of supply chain managers has been increasingly more necessary for businesses to cut costs in manufacturing and distribution. Therefore, as technological advances continue to leap forward, SCM is able to be constantly modified to increase the growth of businesses and generate greater profit.
Over the past two decades there has been a rapid growth and need for individuals who specialize in Supply Chain Management (SCM). SCM is the central planning of all industrial work and is the logistical motor that keeps the manufacturing world running efficiently; keeping a company's goods and services in constant supply to their customers: “A fundamental element of any business strategy is the supply chain process or strategy to deliver goods and services to the consumer” (Thomas, 2010). SCM requires a disciplined understanding and the use of fields such as economics, computer systems information and marketing. There is a great difference between a company that has an efficient SCM system with one company that has an inefficient supply chain affecting a company's entire resources from labor productivity to consumer loyalty. According to Rhonda R. Lummus (1990) "Interest in supply chain management has steadily increased since the 1980s when firms saw the benefits of collaborative relationships within and beyond their own organization" (p.11). Supply chain management is the brain-trust of any business strategy and when an effective model is put in place the benefits are shared by consumer and producer alike.
This paper examines the legal aspects of procurement management and specifically how procurement management can be used as an effective tool for the overall management of a project. This paper focuses on the basics of common contract laws, the basics of agency law, the Uniform Commercial Code (UCC), and some aspects of that pertain to the Federal Acquisition Regulations (FAR). A summation of the company’s position in relation to a given supplier (provided the company decides not to procure all of the material in a contract) will be examined along with how that position is strengthened by understanding the legal aspects of procurement management. Finally, the paper will analyze how the project manager is supported by the contracting management function.

E-commerce or electronic commerce is carrying out business communications and transactions through computers and over networks. It involves buying and selling of goods and services through digital communication. E-commerce also includes transactions on the World Wide Web and the Internet and means such as electronic funds transfer, smart cards and digital cash. E-commerce covers outward facing processes that interact with customers, suppliers and external partners such as sales, marketing, delivery, customer service, purchasing of raw materials and supplies for production.
The high take-up of the Internet leads to variety of opportunities in front of companies. People are more online than ever. They spend many hours each day on Social Networks such as Facebook and Google+. It is no wonder that buying and selling can now be done in a more convenient way. Although traditional shopping is still thriving, online shopping can be an alternative for people wanting to save time and money. If a certain customer plan to go shopping, it could be stressful and also be time consuming. E-business has made shopping or any kind of transactions online much easier and convenient. It introduces new facilities, opportunities and way of shopping for both vendors and customers.

Thousands of activities are performed and coordinated within an organization, and every company at least one supply chain relationship with another organization. Research has led to the conclusion that "the structure of activities within and between companies is a critical cornerstone of creating unique and superior supply chain performance" (Lambert, 2005). Successful supply chain management requires integrating business processes with key members of the supply chain, because valuable resources are wasted when supply chains are not effectively managed. Standard business processes enable managers from different organizations in the supply chain to use a common language and link-up their organizations' processes with other members of the supply chain.
